This website, including all digital platforms, learning portals, and mobile applications (collectively, our “Sites”), is owned and operated by Nexfiore Tutoring Services Inc. By accessing and using our Sites, you agree to comply with and be bound by these Terms of Use. If you do not agree to these Terms, you may not access or use our Sites.

• Individual Liability: You are solely and personally responsible for the UGC you post. Nexfiore Tutoring Services Inc. shall not be held liable for any UGC posted to our Sites.
• Originality: It is your responsibility to ensure that any UGC you submit is your original work or that you have obtained all necessary permissions to share it.
• No Warranty: We do not guarantee the accuracy, integrity, or quality of UGC. You acknowledge that by using our Services, you may encounter content from other users that you find objectionable.

While you retain ownership of the copyright in your original UGC, by posting it on our platform, you grant Nexfiore Tutoring Services Inc. a perpetual, worldwide, royalty-free, and transferable license to use, modify, and distribute that content to facilitate our tutoring services.

Non-Confidentiality: Please do not share any UGC that you do not wish to license to us, as we may use this content to improve our learning modules and curriculum.

3. Prohibited Content and Conduct

To maintain a professional academic environment and comply with applicable law, you agree not to upload or transmit any UGC that:

• Is unlawful, defamatory, obscene, invasive of privacy, or promotes illegal activity.
• Violates academic integrity or facilitates fraudulent academic behavior.
• Infringes upon the intellectual property, trademark, or confidentiality rights of any person or entity.
• Contains malware, malicious code, or any software designed to interrupt platform functionality.
• Solicits money or private information from other learners for personal gain.
• Impersonates another person, institution, or organization.

4. Representations and Warranties

By posting UGC, you represent and warrant that:

• You own or control all rights to the content.
• The content is accurate and does not violate these Terms or any local, provincial, federal, or international laws.
• You are at least 18 years of age or have the express permission of a legal guardian.

User Obligations

1. Your Feedback

“Feedback” refers to any information you submit specifically regarding the improvement of our Sites, curriculum, or tutoring services.

• Ownership: While you own your original User-Generated Content, any Feedback you provide becomes the exclusive property of Nexfiore.
• Assignment of Rights: Submission of Feedback constitutes an assignment to us of all worldwide rights and intellectual property interests. We are entitled to use, modify, and commercialize this Feedback for any purpose without restriction or compensation to you.

2. Removal of Content and Copyright Compliance

Nexfiore respects the intellectual property rights of others and expects our learners to do the same.

Nexfiore Tutoring Services Inc. operates in compliance with Canadian and international trade laws.

• Restricted Access: Our Sites are not intended for use by individuals located in regions subject to comprehensive economic sanctions.
• Warranties: By using our Sites, you represent that you are not located in a sanctioned territory and are not acting on behalf of a person or entity on a restricted party list.

• Technical Reliability: We cannot promise that our servers, Zoom sessions, or digital portals will always be uninterrupted or error-free.
• Content Accuracy: While our tutors are knowledgeable in a range of subject areas, we do not warrant that all information on the site or linked external sites is always complete, accurate, or current.

2. Limitation of Liability

To the fullest extent allowed by law, Nexfiore Tutoring Services Inc., including its directors, officers, employees, and agents, shall not be liable for:
